Terms of Service

These Terms of Service ("Terms") govern your access to and use of the StatShift mobile application, website, and related services (collectively, the "Service") operated by StatShift ("StatShift," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization (such as a league), you represent that you have the authority to bind that organization to these Terms.

1. Description of Service

StatShift is a basketball league management and social platform that provides:

• League, team, and roster management
• AI-powered stat tracking from uploaded game video
• Manual stat entry as a fallback for coaches and administrators
• AI-generated video highlights and media exports
• Push notifications for game updates, league announcements, and communications
• Live draft system for league commissioners and coaches
• Player profiles, career statistics, and league discovery
• Dispute resolution for correcting game statistics
• League growth and promotion tools for commissioners
• Additional features, tools, and integrations as introduced from time to time

We may add, modify, or discontinue features of the Service at our discretion. Material changes will be communicated via the app or email.

2. Account Registration

Eligibility

You must be at least 13 years of age to create a StatShift account. If you are under 18, you must have the consent of a parent or legal guardian.

Account Requirements

• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account
• One person may maintain only one account
• You must promptly update your information if it changes

Roles

StatShift supports multiple account roles (player, coach, commissioner). Your permissions depend on your assigned role within each league.

3. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Upload obscene, defamatory, threatening, or objectionable content
• Manipulate, falsify, or tamper with game statistics or event data
• Interfere with or disrupt the Service
• Attempt unauthorized access to other users' accounts or data
• Use automated scripts, bots, or scrapers without authorization
• Circumvent access restrictions, watermarks, or usage limits
• Harass, abuse, or threaten other users
• Impersonate another person or entity
• Upload videos unrelated to basketball games or league activities

4. Content Ownership

Your Content

You retain ownership of all content you upload, including game videos, profile information, and team data ("Your Content"). By uploading content, you grant StatShift a non-exclusive, worldwide, royalty-free license to:

• Process Your Content using our AI systems to detect game events and generate statistics
• Create derivative works such as highlight clips and statistical summaries
• Store and deliver Your Content through our infrastructure
• Display Your Content within the Service to authorized league members

This license exists solely for operating and improving the Service. We will not sell Your Content to third parties or use it for purposes unrelated to the Service.

StatShift Content

The StatShift name, logo, branding, UI design, AI models, and generated statistics are the property of StatShift. You may not copy, modify, or distribute StatShift's proprietary content without written permission.

AI-Generated Content

Statistics, highlight clips, and other content generated by our AI systems are considered derivative works. You may share AI-generated highlights subject to the watermark requirements below.

5. Subscription and Billing

Subscriptions are billed monthly through our payment processor, Apple In-App Purchase, or Google Play Billing (as applicable) and automatically renew unless cancelled. You may cancel anytime through the app's Billing screen, your device's subscription settings, or by contacting support@statshiftai.com. Cancellation takes effect at the end of your current billing period. All fees are non-refundable except as required by applicable law. Prices are in US Dollars and subject to change with 30 days notice.

Free Trial

New accounts receive a 30-day free trial with full access to core features (unlimited AI games, draft, highlights, player cards, full stats). Ads are displayed and highlights include a prominent watermark. No payment information is required for the free trial. After the trial, you may upgrade to Premium or continue with the Free tier and its associated limitations.

Marketplace and Fee Collection

StatShift may offer features that allow commissioners to collect league fees, registration payments, or other charges from players and participants through the Service. When using these features, StatShift acts as a technology platform facilitating transactions between commissioners and players -- StatShift is not a party to the underlying transaction between the commissioner and the player. Processing fees and platform fees may apply. Commissioners are responsible for any applicable tax obligations related to fees they collect.

6. AI-Generated Statistics

Accuracy Disclaimer

AI-generated statistics are provided as-is and are not guaranteed to be accurate. Results may contain errors due to video quality, camera angle, lighting, player occlusion, or limitations of AI models.

Human Review

All AI-generated statistics are subject to human review. Low-confidence detections are flagged for review. Coaches and administrators may correct any statistic. The manual stat pad is always available as a fallback.

No Reliance

Do not rely solely on AI-generated statistics for any purpose requiring guaranteed accuracy, including player contracts, awards, or standings disputes.

7. Watermark and Sharing

All exported highlight clips include a StatShift watermark ("StatShift -- Shift The Game"):

• Free tier: Prominent watermark overlay
• Premium: Clean, minimal watermark with league branding

You may not remove, obscure, or alter the watermark on exported highlights. You may not use technical means to circumvent watermark application or re-export highlights through third-party tools to remove watermarks. You are encouraged to share exported highlights on social media with the watermark intact.

8. Termination

You may delete your account at any time through the app's Settings screen or by contacting support@statshiftai.com. We may suspend or terminate your account for violations of these Terms, fraudulent activity, stat manipulation, failure to pay, or use that could damage the Service. We will provide reasonable notice when practicable. Upon termination, your access is revoked, your subscription is cancelled, and your data is handled as described in our Privacy Policy.

9. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, StatShift shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for all claims shall not exceed the amount you paid to us in the twelve months preceding the claim.

10. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles.

Binding Arbitration

Disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in the State of Florida. The arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: claims for injunctive or equitable relief, intellectual property infringement, and small claims court actions within jurisdictional limits.

11. Apple and Google Terms

If you access the Service through a mobile application downloaded from Apple's App Store or Google Play:

• The app provider (Apple Inc. or Google LLC) is not a party to these Terms
• The app provider has no obligation to provide maintenance or support for the Service
• In the event of any failure of the app to conform to any applicable warranty, your sole remedy is a refund of the purchase price (if any) as provided by the app provider's terms
• The app provider is not responsible for addressing any claims relating to the app or your use of it
• The app provider is a third-party beneficiary of these Terms and may enforce them against you

12. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days notice via the app or email before material changes take effect. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account before the changes take effect.

13. General Provisions

• These Terms and the Privacy Policy constitute the entire agreement
• If any provision is unenforceable, the rest remain in effect
• Failure to enforce a provision is not a waiver
• You may not assign your rights without our consent; we may assign ours without restriction
